Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Stackific Inc., together with its subsidiaries, affiliates, successors, and assigns ("Stackific," "we," "us," or "our"). These Terms govern your access to and use of all Stackific websites (including stackific.com and all subdomains), mobile and desktop applications, the Stackdemy education platform, software products, APIs, tools, content, documentation, educational materials, consulting deliverables, and any other product or service we offer now or in the future (collectively, the "Services").

By accessing or using any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of the Services.

1. Description of Services

Stackific is a software engineering practice. Our Services include, but are not limited to: AI product development, software engineering, consulting and advisory services, implementation services, the Stackdemy education and training platform (including courses, workshops, certifications, and related materials), web and mobile applications, tools, APIs, open-source projects, content, and any other products or platforms we develop, operate, or distribute. The specific scope, deliverables, timelines, and fees for paid engagements are defined in a separate written agreement or statement of work.

2. Eligibility

You must be at least 16 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and Access

Some Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate any account at our sole discretion, with or without notice, for any reason or no reason.

5. Intellectual Property

All content, software, code, designs, text, graphics, logos, images, audio, video, course materials, documentation, and any other materials available through the Services (collectively, "Stackific Content") are the exclusive property of Stackific Inc. or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.

The Stackific name, the Stackdemy name, all related logos, product and service names, designs, and slogans are trademarks of Stackific Inc.. You may not use them without our prior written permission.

For paid client engagements, ownership of custom deliverables and intellectual property is governed solely by the applicable statement of work or service agreement. In the absence of such an agreement, Stackific retains all rights.

6. User Content

If you submit, upload, or transmit any content through the Services ("User Content"), you retain ownership of your User Content but grant Stackific a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, and display your User Content solely for the purpose of operating and improving the Services. You represent that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.

7. Stackdemy and Educational Content

Access to Stackdemy courses, workshops, certifications, and educational materials is granted as a limited, non-exclusive, non-transferable, revocable license for your personal or internal business use only. You may not redistribute, resell, record, publicly perform, or share access credentials for any educational content. Stackdemy materials are provided for educational purposes only and do not constitute professional advice, certification by any regulatory body, or a guarantee of any particular outcome, skill level, or employment result.

8. Payment and Refunds

Certain Services may require payment. All fees are stated at the time of purchase or in the applicable agreement. Unless otherwise stated in writing, all payments are non-refundable. We reserve the right to change pricing at any time. Continued use of paid Services after a price change constitutes acceptance of the new pricing.

9. Confidentiality

Any confidential information shared during an engagement is subject to the confidentiality provisions in the applicable service agreement. In the absence of such provisions, both parties agree to treat as confidential any non-public information received from the other party and not to disclose it to third parties without prior written consent.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SERVICES, INCLUDING BUT NOT LIMITED TO ALL WEBSITES, APPLICATIONS, PLATFORMS, SOFTWARE, PRODUCTS, STACKDEMY CONTENT, EDUCATIONAL MATERIALS, CONSULTING DELIVERABLES, TOOLS, APIs, DOCUMENTATION, AND ANY OTHER MATERIALS OR OUTPUTS PROVIDED BY STACKIFIC, ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

STACKIFIC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

No advice or information, whether oral or written, obtained from Stackific or through the Services shall create any warranty not expressly stated in these Terms. You acknowledge that you use the Services entirely at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STACKIFIC INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUBSIDIARIES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "STACKIFIC PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT STACKIFIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES:

THE LIMITATIONS IN THIS SECTION APPLY TO ALL SERVICES WITHOUT EXCEPTION, INCLUDING WEBSITES, APPLICATIONS, STACKDEMY, CONSULTING DELIVERABLES, SOFTWARE PRODUCTS, APIs, TOOLS, AND ANY OTHER PRODUCT OR OUTPUT. THESE LIMITATIONS SHALL APPLY EVEN IF ANY LIMITED REMEDY STATED HEREIN FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIABILITY OF THE STACKIFIC PARTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Stackific Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) your User Content; or (e) any dispute between you and any third party relating to the Services.

13. Assumption of Risk

You expressly acknowledge and agree that your use of the Services is at your sole risk. Stackific provides general information, educational content, software tools, and professional services, but does not guarantee any specific outcome. Content provided through the Services, including through Stackdemy, is for informational and educational purposes only and does not constitute legal, financial, medical, or other professional advice. You are solely responsible for any decisions or actions taken based on information obtained through the Services.

14. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, services, APIs, or content that are not owned or controlled by Stackific. We do not control, endorse, sponsor, or assume any responsibility for the content, privacy policies, terms, or practices of any third-party services. Your interactions with any third party are solely between you and that third party. Stackific shall not be liable for any damage or loss caused or alleged to be caused by or in connection with the use of any third-party services.

15. Service Availability

We reserve the right to modify, suspend, discontinue, or restrict access to any or all of the Services at any time, temporarily or permanently, with or without notice, for any reason or no reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

16. Termination

We reserve the right to suspend or terminate your access to any or all Services, at our sole discretion, with or without notice, for any reason, including but not limited to conduct that we believe violates these Terms, is harmful to other users, us, third parties, or the integrity of the Services. Upon termination, all rights granted to you under these Terms will immediately cease. Sections 5, 6, 10, 11, 12, 13, 18, and 19 shall survive any termination.

17. Force Majeure

Stackific shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or any other event beyond our reasonable control.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in the Province of Ontario for the resolution of any dispute arising out of or relating to these Terms or the Services.

To the fullest extent permitted by law, you agree that any claim or cause of action arising out of or relating to these Terms or the Services must be filed within one (1) year after the cause of action arose, or be forever barred.

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

19. General Provisions

Entire agreement. These Terms, together with any applicable service agreements, constitute the entire agreement between you and Stackific regarding the Services and supersede all prior agreements, understandings, and communications.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision shall not constitute a waiver.

Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

No third-party beneficiaries. These Terms do not confer any rights on any third party.

20. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will revise the effective date at the top of this page. Changes are effective immediately upon posting. Your continued use of any of the Services after any changes constitutes your binding acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
